Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the eFacturaSPV service, available at efacturaspv.ro and in the application at https://app.efacturaspv.ro (the “Service”), provided by NORTHDAN SOFT S.R.L., registration number (CUI) RO44282833, registered with the Romanian Trade Register under no. J2021000717015, with its registered office in Str. Iuliu Maniu nr. 19C, Mun. Aiud, Jud. Alba (“we”, the “operator” or “eFacturaSPV”).

By creating an account or using the Service, you confirm that you have read, understood and agree to these Terms. If you do not agree, please do not use the Service.

1. The service

eFacturaSPV is a service that, once you authorize it a single time in Romania’s ANAF Virtual Private Space (SPV), automatically pulls the invoices you receive through the national e-Factura system, renders them as a PDF using ANAF’s own official service (transformare / FACT1) and, optionally, archives them to your Google Drive account, organized by month (YYYY.MM).

The Service is a technical tool that you use in your own relationship with the national e-Factura system. We are not your fiscal representative, we do not issue invoices on your behalf, we do not provide accounting, tax or legal advice, and we do not replace your own reporting obligations toward ANAF. On plans that include invoice issuing, the Service also provides a tool with which you prepare and submit your own invoices through the RO e-Factura system — under the conditions described in section 6.

2. Account and eligibility

To use the Service you need an account. You sign in via a magic link sent to your email. You agree to:

  • provide accurate and current information at sign-up;
  • keep access to the email inbox associated with your account confidential;
  • be a natural person of at least 18 years of age, or act on behalf of a legal entity you are entitled to represent;
  • notify us without delay at [email protected] if you suspect any unauthorized use of your account.

You are responsible for all activity carried out through your account. We may suspend or restrict access if we have reasonable grounds to believe these requirements are not being met.

3. Plans, subscriptions and payments

3.1. Plans and prices

The Service offers a permanent Free plan for your first company, with no card and no setup cost. Receiving e-Factura invoices is never metered or capped, on any plan. The paid plans are:

  • Pro — RON 29/month or RON 290/year, per company, for up to 5 companies (roughly RON 24/month on annual billing — two months free);
  • Firmă — RON 149/month or RON 1,490/year, for accounting firms, with up to 40 tax IDs (CUIs) included; +RON 5/month per additional CUI; when the monthly cost would exceed the price of Firmă Nelimitat, the account moves to that plan automatically;
  • Firmă Nelimitat — RON 349/month or RON 3,490/year, with unlimited CUIs and assisted onboarding.

All prices are in RON and include VAT (21%). The details and limits of each plan are published on the Pricing page and form an integral part of these Terms.

3.2. Free trial

Paid plans include a 30-day free trial, no card required, with every paid feature enabled. At the end of the trial, if you have not added a card, your account automatically switches to the Free plan — you are charged nothing and your data remains intact.

3.3. Payment

Payment is by card only (Visa / Mastercard), processed by Stripe (Stripe Payments Europe, Ltd.). Your card details never touch our servers: you enter them directly into Stripe’s secure hosted form.

3.4. Automatic renewal

Your subscription renews automatically at the end of each billing period (monthly or annual), at your plan’s then-current price. We send a reminder email before every renewal: 7 days before for monthly subscriptions and 30 days before for annual ones. If we change prices, we announce it at least 30 days in advance, and the new price only applies from your next renewal — never mid-period.

3.5. Cancellation

You can cancel at any time, yourself, in one click, directly in the app (Subscription → Cancel) — no phone calls, no emails, no penalties. Access to the paid features remains active until the end of the period you have already paid for; after that, your account switches to the Free plan and your data remains intact. You can reactivate your subscription at any time.

3.6. Refunds

We do not offer refunds. The 30-day, no-card trial is the evaluation period: you can fully test the paid features before ever paying. When you cancel, you keep access until the end of the paid period. If a payment is nevertheless returned (for example following a chargeback, or a goodwill refund we grant), we automatically issue the corresponding fiscal correction (credit note / storno) through RO e-Factura, and access to the paid plan ends.

3.7. Fiscal invoicing (RO e-Factura)

For every payment we automatically issue a compliant RO e-Factura fiscal invoice (series NDSEFS), submitted to ANAF’s SPV. You can view and download it (XML and PDF) directly in the app. Our own invoices are e-Factura too. Naturally.

3.8. Consumers (natural persons)

The Service is intended for business use (companies, sole traders and other entities). If you nevertheless buy as a consumer, note that by placing the order you expressly request that performance of the service begin immediately, and you acknowledge at checkout that you lose the 14-day right of withdrawal once performance has begun (art. 16(m) of Romanian GEO no. 34/2014, implementing the EU Consumer Rights Directive). We ask for this explicit consent before payment. We do not sell subscriptions to consumers residing outside Romania.

4. User obligations

You agree to use the Service lawfully and not to:

  • use the Service for data or certificates you have no legal right to access or process;
  • attempt to gain unauthorized access to other users’ accounts, data or infrastructure;
  • disrupt, overload or circumvent the technical measures and usage limits of the Service;
  • use the Service for illegal, fraudulent, or rights-infringing purposes;
  • misrepresent your identity, your company, or your right to represent a company.

You remain fully responsible for the accuracy and legality of the fiscal data retrieved, as well as for complying with your own legal reporting and archiving obligations.

5. The ANAF connection (SPV / e-Factura)

To pull your invoices, you authorize your own qualified digital certificate, enrolled in SPV, through a single connection. The USB token is used only once, at authorization; after that the Service uses ANAF’s official OAuth tokens (valid for 90 and 365 days respectively) and renews them automatically, so you never touch the stick again. If your certificate is enrolled for multiple tax IDs (CUIs), a single authorization can cover all of them — which is exactly what foreign-owned groups running several Romanian entities need.

You remain the holder of the certificate and of the authorization. We use this access solely to retrieve, on your behalf, the invoices you are entitled to through SPV. You can revoke the authorization at any time, both from within the Service and directly in ANAF’s SPV. We are not affiliated with, endorsed by, or approved by ANAF; e-Factura, SPV and ANAF are systems and names of the authority, and their availability and rules are outside our control. The 60-day window for retroactively retrieving invoices is imposed by ANAF, not by the Service. More details on the RO e-Factura API page.

6. Issuing invoices (e-Factura)

If your plan includes invoice issuing, the Service provides a tool with which you prepare and submit invoices through Romania’s national RO e-Factura system, using your own SPV authorization — the same authorization described in section 5. The details and limits of each plan are published on the Pricing page.

6.1. You are the issuer

The issuing tool is operated by you, as the issuer (seller). The invoices submitted through the Service are your invoices, issued in your name and on your responsibility; we do not issue invoices on your behalf, we are not a party to the transactions being invoiced, and we do not verify your commercial relationship with your customers. It is your digital certificate and your SPV authorization that allow the application to submit the documents to ANAF on your account.

The fiscal values the Service prefills (VAT rates, tax categories, legal mentions and other automatically computed defaults) are suggestions intended to make completion easier — they do not constitute tax or accounting advice. You confirm the correct fiscal treatment of each document before submission, and the choice of invoice series and numbering remains your legal responsibility as the issuer.

6.2. The SPV connection and the 60-day window

For the companies you issue from, you undertake to keep the SPV authorization active. ANAF keeps issued documents (the sealed XML and the related proofs) available for download only for a limited period of roughly 60 days — a limit imposed by ANAF, not by the Service. If your authorization expires or is revoked and the documents have not been downloaded within this window, they may become unrecoverable from SPV. We warn you in advance when we detect such a risk, but the responsibility for restoring the connection and downloading in time remains yours. Documents already retrieved by the Service remain available in your account.

6.3. Usage limits

Each plan includes a monthly limit of issued invoices, published on the Pricing page. On plans with unlimited issuing, issuing is unlimited for each CUI, under fair use consistent with genuine invoicing activity. To protect the Service and to respect the technical limits of ANAF’s systems, a daily technical ceiling applies on every plan (currently 200 issued invoices per company per day), together with rate limits; if you need higher volumes, write to us at [email protected].

Corrections of already-issued documents (credit notes / storno, cancellation, re-downloading documents) do not count toward the monthly limits and remain available even after your account moves to the Free plan.

7. Google Drive

Archiving to Google Drive is optional. If you enable it, you authorize the Service, via OAuth, to write the invoice PDFs into your own Google Drive account. Archived data remains yours, in your account, and never held hostage; you can access, move or delete it at any time. You can withdraw this access at any time, from within the Service or from your Google account’s security settings.

Use of Google Drive is additionally governed by Google’s terms and policies. How we use this access and the data we process is described in the Privacy Policy.

8. Intellectual property

The Service, the software, the interface, the trademarks, logos and content we make available are and remain the property of eFacturaSPV or our licensors and are protected by applicable copyright and industrial-property law. We grant you a limited, non-exclusive, non-transferable and revocable right to use the Service in accordance with these Terms.

Your data — your invoices, the XML files, the PDFs and your account information — remains yours. We claim no ownership over it.

9. Limitation of liability

The Service is provided “as is” and “as available”. We make reasonable efforts to keep the Service continuous and accurate, but we do not warrant that it will operate uninterrupted or error-free, especially where it depends on third-party systems we do not control (ANAF / SPV, Google Drive, the email or hosting provider).

To the maximum extent permitted by law, we are not liable for indirect losses, loss of profit, loss of data, or the consequences of ANAF or Google systems being unavailable. Nothing in these Terms limits liability that cannot be limited by law, including in the case of wilful misconduct or gross negligence. You remain responsible for meeting your own legal deadlines for reporting and retaining fiscal documents; the Service is an aid, not a guarantee of compliance.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with reasonable notice where possible, if you breach these Terms, if your use endangers the Service or other users, or if we are legally required to do so.

On termination, the OAuth authorizations to ANAF and Google Drive may be revoked, and your data is handled in accordance with the Privacy Policy. Invoices already archived to your own Google Drive remain in your account after termination.

11. Governing law

These Terms are governed by Romanian law. Any disputes will be settled by the competent courts in Romania, in accordance with the law. If you are a consumer, you benefit from the protection of the applicable mandatory provisions and may contact the National Authority for Consumer Protection (ANPC) or the European Online Dispute Resolution (ODR) platform.

12. Changes

We may amend these Terms to reflect changes to the Service, to legal requirements or to our practices. We will update the “Last updated” date above and, for significant changes, make reasonable efforts to notify you. Continued use of the Service after changes take effect constitutes acceptance of them.
